While Axion Labs does not require user account creation for accessing general information on our website, certain project management or client portals may require a unique login provided by us for specific projects or communications.

Clients are responsible for maintaining the confidentiality of any credentials provided and for all activities conducted under their assigned access. Sharing credentials with unauthorized third parties is strictly prohibited.

Communication Medium

All official communications between Axion Labs and clients shall primarily be conducted via WhatsApp. Secondary communication channels include telephone calls and the sharing of official documents via email. Clients are responsible for monitoring these channels and responding promptly to requests or notifications.

Client Rights

Clients engaging with Axion Labs are entitled to the following rights:

• Clear Deliverables: Receive detailed project scope, milestones, and timelines before project commencement.
• Revisions: Request reasonable revisions as defined in the project agreement.
• Confidentiality: Assurance that sensitive information shared with Axion Labs will be kept confidential.
• Transparency: Access to relevant progress updates and communications regarding their projects.
• Ownership: Upon full payment, clients will retain ownership of project deliverables as per the agreement.

Changes to Terms

Axion Labs reserves the right, at its sole discretion, to modify, update, or amend these Terms at any time. Such changes shall become effective immediately upon posting on our website. Continued use of our services after any such changes constitutes acceptance of the revised Terms.

Intellectual Property

All intellectual property, including but not limited to code, designs, graphics, documentation, and project deliverables produced by Axion Labs shall remain the property of Axion Labs until full payment for the services is received. Upon receipt of payment, ownership of the agreed deliverables shall transfer to the client as specified in the project agreement.

Clients are prohibited from copying, distributing, or using any of Axion Labs intellectual property for purposes outside the agreed project scope without prior written consent.

Limitation of Liability

Axion Labs shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising out of the use of our services after the project has been completed, delivered, and approved by the client.

Once a project is successfully delivered and approved, all responsibility for hosting, maintenance, security, server performance, third-party integrations, and future updates shall rest solely with the client unless a separate maintenance agreement is executed.

Axion Labs makes every reasonable effort to complete projects within the initially estimated timeline. However, we do not guarantee strict adherence to timelines in cases where delays occur due to unforeseen technical issues, third-party service failures, server outages, client-side delays, force majeure events, or any circumstances beyond our operational control. Such delays shall not constitute a breach of contract or grounds for compensation.

In the event that a client’s maintenance plan expires, is discontinued, or is declined by the client, all future responsibility including but not limited to security, updates, bug fixes, backups, performance issues, and legal compliance shall be fully transferred to the client. Axion Labs shall bear no liability whatsoever for any future malfunction, data loss, hacking, downtime, or damages after maintenance termination.

Axion Labs may, at its discretion, accept maintenance plans for existing customers at any future time; however, acceptance is not guaranteed and shall depend on system condition, security status, and business feasibility at the time of request.

Axion Labs shall not be responsible for any loss of data, revenue, business opportunities, reputation, downtime, cyber attacks, malware, server failures, or external service interruptions occurring after deployment.

In no event shall the total liability of Axion Labs exceed the total amount paid by the client for the respective project.

Clients expressly agree that they use our services at their own risk and acknowledge that no digital product is completely free from unforeseen technical failures.

Our Rights

Axion Labs reserves the full right to:

• Right to Lien: Retain ownership and control of all project files, code, designs, and assets until full payment is received.
• Right to Payment: Demand full project payment as per the agreed pricing structure.
• Right to Suspend: Suspend or terminate services in case of delayed payments, breach of agreement, or unethical usage.
• Right to Showcase: Display completed projects in our portfolio, website, and promotional materials unless restricted by a written NDA.
• Right to Refuse: Decline or discontinue any project that violates legal, ethical, or moral standards.

Axion Labs shall not be obligated to release any files or deploy any project until all outstanding dues are fully cleared.

Payment Advance

To initiate any project with Axion Labs, the client must pay a 30% non-refundable advance amount of the total project cost. This advance confirms the project booking and allows work to begin.

The remaining 70% balance payment must be paid in full after project completion and before final deployment or handover. No project shall be deployed, transferred, or made live until the full payment is successfully received.

No installment system is provided. Payments must strictly follow the 30% advance and 70% final settlement structure.

Failure to complete the final payment within the agreed timeframe may result in project suspension, data withholding, or permanent termination without refund.

Payment System

Axion Labs accepts payments through the following official modes:

• Online Payments: UPI, Bank Transfer, and other digital payment gateways.
• Cash Payments: Accepted only with proper acknowledgment and official receipt.

All payments must be made only to the officially authorized accounts communicated by Axion Labs. The company shall not be responsible for any loss caused due to payments made to unauthorized or third-party accounts.

Clients are responsible for retaining their payment receipts, transaction IDs, and proof of payment for future reference and verification.

All services are delivered strictly as per the mutually agreed scope of work. Any feature or service outside the approved scope shall be treated as additional paid work.

Project Timeline

Project timelines at Axion Labs vary depending on the complexity and requirements of the project.

• Static Websites: Usually completed within 4 or more working days.
• Dynamic Websites: 7 to 15 working days depending on features.
• E-Commerce Websites: 15 to 30 working days depending on integrations.
• Custom Applications: Timeline is finalized based on system complexity.

Delays caused due to late content submission, delayed approvals, payment delays, or force majeure events shall automatically extend the project deadline without any liability on Axion Labs.

User Conduct

Clients and users agree to use the Axion Labs website and services in a lawful, respectful, and ethical manner.

Users shall not:

• Engage in abusive, threatening, or harassing behavior.
• Use our services for illegal, fraudulent, or harmful activities.
• Attempt to hack, reverse-engineer, or damage any system.
• Use our work for unlawful or immoral digital operations.

Violation of this section may result in immediate service suspension or termination without refund.

Privacy and Policy

Axion Labs is committed to protecting client privacy and data.

We may collect limited personal information such as name, phone number, email address, and project-related data strictly for business communication and service delivery.

We do not sell, trade, or publicly share client data with third parties except where required by law or essential for service completion.

Clients are responsible for the security of their own hosting, servers, admin credentials, and third-party tools unless protected under an active maintenance plan.

Termination of Services

Axion Labs reserves the right to terminate or suspend services under the following conditions:

• Non-payment or delayed payment beyond the agreed period.
• Breach of these Terms and Conditions.
• Illegal or unethical use of our services.
• Abusive or threatening conduct toward our team.

Clients may request termination by providing written notice. Any payments already made are non-refundable.

Upon termination, all project files shall remain with Axion Labs until all outstanding dues are cleared.

Termination shall not affect any legal rights or obligations accrued prior to such termination.
